New Leader, Center for Board Governance & Investor Resource Institute

The current business environment poses new challenges and opportunities for both corporate boards and investors. A recent paper published by PwC’s Center for Board Governance, Key considerations for board and audit committee members, 2014-2015 edition, includes emerging technologies, cybersecurity, and shareholder activism as some of the evolving topics on boardroom agendas. As for shareholders, they seek more transparency regarding board composition and CEO compensation, as well as initiatives on social and sustainability issues. PwC’s Center for Board Governance and its Investor Resource Institute aim to strengthen investor confidence and are terrific resources for directors and investors addressing new and traditional challenges.

The two institutions approach similar issues from the differing perspectives of boards and investors. Even when these perspectives diverge, an understanding of the other side’s point of view is vital. For example, What matters in the boardroom?, a recent joint paper by both organizations, compares the views of directors and institutional investors about trends in corporate governance in an effort to help close the expectations gap.

I’m pleased to share that PwC has appointed Assurance Partner Paula Loop as the leader of our Center for Board Governance and Investor Resource Institute. With more than 20 years of experience at PwC, Paula will bring her experience in governance, technical accounting, and SEC and financial reporting matters to both organizations. She previously served as PwC’s New York Metro Regional Assurance Leader, where she led one of the firm’s largest assurance practices, overseeing roughly 275 partners and 3,000 staff members. Previously, she was the US and Global Talent Leader for the firm, among other prior PwC responsibilities. She also serves on the board of the PwC Charitable Foundation.

Paula replaces two stand-out leaders who are retiring in June: the Center’s Mary Ann Cloyd and the Institute’s Kayla Gillan. Mary Ann’s extensive experience—including more than 37 years in public accounting and her participation on PwC’s own Global and US Boards of Partners and Principals—greatly benefited the Center. Under her leadership, the Center has helped directors by sharing leading governance practices through thought leadership, forums, and meetings with boards, audit committees, and executives.

Kayla’s leadership of the Investor Resource Institute built on her significant experience: she was a founding member of the PCAOB, a Deputy Chief of Staff and Senior Advisor at the Securities and Exchange Commission, and General Counsel at CalPERS. During her tenure, the Institute has worked to enhance investor confidence by engaging shareholders in dialogues about topics including risk, cybersecurity and corporate governance.

I’m confident that Paula will build on Mary Ann and Kayla’s important work providing valuable insights for the board and investor communities. Building trust in society is central to PwC’s purpose. Engaging corporate leaders and investors in a dialogue advances that goal by creating opportunities for each group to learn from the other and make better, more informed decisions.
